Master Service Agreement - Search Engine Optimization Addendum

SEARCH ENGINE OPTIMIZATION ADDENDUM

The ‘Services’ consist of a suite of online marketing and management tools for search engine optimization (SEO), which includes tools for listing management, configuration of website, and automated search engine performance reporting.
Third Party Sites, Services and Products. The Services and your website may use third-party sites, services and products, including but not limited to artificial intelligence services, business intelligence software, data integration APIs and data warehouses. Third-party sites to which we link or access are used for link building, site indexing, error monitoring, and analytics services. Third parties include:

If applicable, Tambourine requires access to the business’ Google Business account in order to verify, configure, and perform basic maintenance.
Client acknowledges that Tambourine retains no responsibility for any issues, including verification, deletion or disablement related to the Google Business account.

Tambourine has no control over dual-sync API integration to publisher sites. Client acknowledges that Tambourine does not guarantee that any Client Content will be displayed on any Publisher Site and the appearance and/or location of any Client Content placement may change at any time.

Tambourine must verify ownership of a Client website in order to use Google Search Console services. Tambourine requires the Client to implement the verification in the Client domain's TXT records. Failure to implement the verification token will result in Tambourine inability to use Google Search Console services.

Search engine algorithms have many factors and signals that determine a website rank or position in search results. Client acknowledges that Tambourine does not have control over search algorithms and does not guarantee rank positions for brand or non-brand keywords or search queries, traffic fluctuations, and indexing issues.
Client acknowledges that Tambourine assumes no responsibility if SEO work is destroyed either wholly or in part, either knowingly or unknowingly by any party other than Tambourine or without the prior consultation of Tambourine. SEO work is considered to be destroyed either wholly or in part if the following changes (but are not limited to) are made to a website by any party other than Tambourine or without first consulting Tambourine:

Changes in the file(s) or folder(s) name.
Putting a file in a different folder or putting a folder in another folder or sub domain.
Making changes in the head section of a document like changing the text in the title tag, removing certain HTML tags required for site authentication.
Deleting a link, folder, file, web document or sub domain.
Modifying text on a web document such as changing the formatting of the text or repositioning the text.
Removing analytics code from the web page which is used to track website traffic.
Linking out to any website without prior consultation of Tambourine.
Adding a file, folder, web document, widget or any functionality.
Renaming URLs of existing web documents.
Taking down the website or part of the website.
Renaming, re-locating, adding or removing any file, folder or sub domain on a web server including web documents, robots.txt, .htacess file, sitemap.xml, rss.xml etc.
Changes in the site architecture.
Changes in the anchor text.
Making any changes on an optimized web page.

Client acknowledges that re-constructing and re-optimizing website content for SEO will result in additional fees.
