Master Service Agreement - Paid Media Addendum

PAID MEDIA ADDENDUM

SERVICES:

  1. The ‘Services’ consist of media strategy and may include campaign management of search engine marketing, paid social advertising, meta search advertising, and display advertising. Other media tactics, channels, and campaigns may be added at Tambourine’s recommendation.
    1. Tambourine will design ad units. Client must provide creative assets that meet specification requirements. Ad units are updated no more than once per quarter and are limited to static banner ads. Client acknowledges that ad unit feedback is limited to two (2) rounds of revisions. Tambourine may update ad units at our discretion.
    2. Client represents and warrants that it has secured all necessary permissions, privacy rights, contractual rights, and licenses to all assets provided to Tambourine. Assets are defined as first-party data, emails, photos, images, videos, music, logos, titles, slogans and any other assets provided by the Client. Tambourine has no liability to any claims, suits, liabilities, losses, damages, and costs attributable to the assets.
    3. Client acknowledges that Tambourine owns all creative assets designed and developed by Tambourine. Any assets used for third party services require scope of work and may require additional fees for third party usage.
  2. Third Party Services and Products. The ‘Services’ may use third-party platforms, services and products, including but not limited to artificial intelligence services. Third-party sites (e.g. Google, Meta, Microsoft) which we create and configure are used for campaign management, bidding, and ad publishing.
    1. Tambourine must set up the Ad account(s). Client acknowledges that the Client shall not obtain access to the Ad Account(s) created and owned by Tambourine. Tambourine prohibits sharing access to Tambourine’s Ad account(s) to safeguard integrity, security, and confidentiality.
    2. Tambourine will link Google Ads to the Client’s Google Analytics property.
    3. Tambourine has no control over media costs, including the cost-per-click (CPC) or cost per thousand impressions (CPM).
      1. Clients have the right to know the number of clicks, impressions, and cost.
      2. Third-parties and/or Tambourine may apply minimum spends by channel or campaign.
    4. Tambourine has no control and cannot guarantee a specific ad position on search results pages. Ad position is determined by an auction and changes dynamically with every new search.
  3. Third Party Sites. Client understands and agrees that Tambourine has no responsibility or liability for any ads redirecting to third-party websites including the implementation of tracking and analytics, website downtime or degradation causing loss of performance media reporting or negatively impacting performance media results.
    1. If Tambourine or Client encounters any issues related to or impacting performance, Client acknowledges that re-constructing work will result in additional fees.
  4. Third Party Applications. Client acknowledges that any third party widget, code, script, API, or tools implemented on Websites or Third Party Websites may be denied implementation, link or connection. Client acknowledges that Tambourine has no responsibility for any issues that may arise.
    1. If Tambourine or Client encounters any issues related to or impacting performance or measurement, Client acknowledges that re-constructing work will result in additional fees.
  5. Media Costs. If Client has purchased a Performance Media Program advertising/media cost/spend is not included.
    1. Tambourine requires Client e-signature approval of the annualized media plan in order to start Services.
    2. Client acknowledges that the media plan is an estimate only and not a fixed cap on spend therefore if the actual ad spend is less or more than the budget amount, then the client will pay the actual amount spent. Client acknowledges that over and under spends of up to 10% of the annual spend are to be expected.
    3. Client acknowledges that Tambourine requires the Client to place a credit card on file with each channel (if applicable) or an automated bank debit/ACH authorization on file with Tambourine.
  6. Fees. Performance Media Program scope is based on the Client’s expected monthly media spend. Fees are subject to change if the annual media plan budget increases or decreases by 20% or more. Additional fees will apply for the following services:
    1. Meta search advertising one-time $500 setup fee per property and $250 per month connection fee per property.
    2. Ad server pass through fees.
    3. Creative services for video production and animated graphics.
  7. Termination. The subscription automatically renews monthly, unless either party sends a written notice of its decision to terminate services. Either party seeking to terminate services must provide written notice to the other party at least 30 days prior to the intended termination date. The notice shall specify the effective termination date.
    1. If any Insertion Orders (IO) remain in effect, the terms and conditions shall also remain in effect. If any IO is canceled, any pre-paid fees will be reconciled.
    2. Client is responsible for any ad spend up to the agreed termination date. Any balances remaining on the account must be paid with the Client’s credit card, automated bank debit/ACH on file.
