Master Service Agreement - Reporting Addendum

REPORTING ADDENDUM

SERVICES:

  1. The ‘Services’ consist of a comprehensive performance report pertaining to the digital marketing services managed by Tambourine. The reporting service is commonly known as the Symphony Performance Reporting Studio (PRS).
    1. Website Analytics. Tambourine’s Service includes the implementation of Google Analytics tracking via Google Tag Manager (GTM). Google Analytics Events and Conversions are pre-determined by Tambourine. Tambourine will configure tags, triggers, and variables within GTM, and place GTM script via the Symphony Content Management System. 
      1. The Client acknowledges that they are fully responsible for the implementation of the GTM script via a third-party website/CMS or the booking engine site.
      2. Tambourine is not held liable for any negative impact on measurement caused by limitations, actions or changes made by the third-party website, booking engine site or individuals not under the direct control of Tambourine. Client acknowledges that any such unauthorized changes may result in the loss of accurate data tracking and PRS capabilities, leading to incomplete or inaccurate web analytics data.
      3. Website Analytics work is considered to be destroyed either wholly or in part if changes are made to a website or booking engine site by any party other than Tambourine or without first consulting Tambourine. Changes include, but are not limited to:
        1. Removal of tracking codes. 
        2. Addition of third-party scripts. 
        3. Modifications of JavaScript functions related to analytics tracking. 
        4. Changes to site structure or attributes of HTML elements used for tracking. 
      4. Client acknowledges that re-constructing website analytics will result in additional fees.
    2. Performance Reporting Studio. The PRS is used for data analysis and visualization to generate insights based on digital marketing services. 
      1. Tambourine will provide Client read-only permission to the PRS. 
      2. Client agrees to not duplicate or share PRS with third-parties that result in copy or resell of the PRS. 
      3. Tambourine is not responsible for issues or downtime due to third-parties as mentioned in Section 1 C.
    3. Third Party Sites, Services and Products. The Services may use third-party sites, services and products, including but not limited to web analytics platforms, data visualization services, data integration APIs, and data warehouses. 
      1. Google Analytics
        1. Client must extend Tambourine Google Analytics Account administrative permissions to benefit from Service. 
        2. Client must retain ownership of the Google Analytics Account and abide by Google Analytics Terms and Conditions
        3. Client acknowledges that Tambourine retains no responsibility for any issues, including deletion or disablement related to the Google Analytics account.
        4. Client acknowledges that Tambourine is not responsible for extending permission to Google Analytics to people outside of Tambourine’s organization.
      2. Google Tag Manager (GTM) 
        1. Client must extend Tambourine GTM container Publisher permission to benefit from Service. 
        2. Client must retain ownership of the Google Tag Manager container and abide by Google Tag Manager Terms and Conditions.
        3. Client acknowledges that Tambourine is not responsible for the implementation or maintenance of 3rd party tags. 
        4. Client acknowledges that Tambourine retains no responsibility for any issues, including deletion or disablement related to the GTM container.
        5. Client acknowledges that Tambourine is not responsible for extending permission to Google Tag Manager to people outside of Tambourine’s organization.
      3. Third-party sites and APIs
        1. Tambourine has no control over third-party sites and API data integrations. Client acknowledges that Tambourine cannot guarantee 100% connectivity resulting in impairment of Tambourine’s PRS.
  2. Termination. The subscription automatically renews monthly, unless either party sends a written notice of its decision to terminate services. Either party seeking to terminate services must provide written notice to the other party at least 30 days prior to the intended termination date. The notice shall specify the effective termination date. 
    1. Access to the Performance Reporting Studio will be revoked on the effective termination date.
